Mark M. Kamp
Special Counsel
Mark focuses his practice on business, private equity, venture capital and technology transactions with start-up, emerging and established corporations. He assists his clients in all aspects of corporate growth and strategy, and acts as outside general counsel to many of his clients. His practice includes guiding entrepreneurs in establishing a corporate structure including shareholder agreements, operating agreements, employee and management employment contracts, negotiating and structuring debt and equity financings, and successful exits and/or sales of companies. Additionally, he successfully negotiates intellectual property and technology-related transactions focusing on outsourcing and infrastructure; acquisition, development and licensing of software, databases, and web-based products and services; and distribution, data processing, escrow, consultancy, system integration and services transactions.
Mark is active in the nutrition products industry and advises clients regulated by the Food Drug and Cosmetic Act and the Federal Trade Commission. He was Vice President and General Counsel of one of the fastest growing and most innovative nutrition products companies in the natural products industry. He formed and led the company’s legal and regulatory department, and led the company’s Human Resources, Facilities, Information Technology, Quality Assurance/Quality Control and Distribution functions. He is also the founder of a company that provided a turnkey natural products solution to health insurance companies.
Mark is the father of three and coaches youth flag football and basketball. He is an avid sailor competing in the SORC race in Miami, Florida and various other races in the United States and Caribbean, and he has run with the bulls in Pamplona, Spain.
